Appointing Company Secretary
Every company must have one or more secretaries each of whom must be a natural person who has his or her principal or only place of residence in Singapore and who is not debarred from acting as secretary of the company.
It is the duty of the directors of a company to take all reasonable steps to secure that each secretary of the company is a person who appears to them to have the requisite knowledge and experience to discharge the functions of secretary of the company.
Companies must appoint a company secretary within 6 months from the date of incorporation. The office of secretary must not be left vacant for more than 6 months at any one time or the directors may face a penalty of up to $1,000.
The secretary or secretaries are to be appointed by the directors. Any person who is appointed by the directors of a company as a secretary must, at the time of his or her appointment, by himself or herself or through a registered qualified individual authorised by him or her, file with the Registrar a declaration in the prescribed form that he or she consents to act as secretary and providing the prescribed particulars.
A company secretary is responsible for the administration of the company. He is also required to ensure that all the directors and shareholders are informed of their statutory obligations such as the filing of annual returns.
The responsibilities of a secretary can be varied depending of a company’s needs. Below are some examples:
Maintain and update the company’s registers and minutes books.
Administer, attend and prepare minutes of meetings of directors and shareholders.
Keep company directors aware of the deadlines for annual returns and any other filings required by ACRA.
Update directors and shareholders on relevant changes in corporate regulations.
Requirements of a company secretary
A company secretary must be:
A natural person.
Locally resident in Singapore.
Where a director is the sole director of a company, he or she must not act or be appointed as the secretary of the company.
